Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”) and Makeshift Digital Oy (“Flowtusk”, “we”, “us”), governing your access to and use of the Flowtusk platform and related services.

By creating an account, accessing the service, or clicking “I agree”, you confirm that you have read, understood, and agree to be bound by these Terms. If you are agreeing on behalf of an organisation, you represent that you have the authority to do so.

2. The Service

Flowtusk is a software-as-a-service (SaaS) platform that enables Webflow form submissions to be automatically routed and enriched into HubSpot CRM pipelines and other connected tools, without manual data entry or third-party automation tools such as Zapier.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable prior notice, except in cases of urgent security requirements.

3. Eligibility and Account Registration

• You must be at least 18 years of age and have legal capacity to enter into a binding contract.
• If registering on behalf of a company, you must have the authority to bind that company.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorised access to your account.
• One person or entity may not maintain more than one free account.

4. Subscription Plans and Payment

4.1 Pricing

Flowtusk is offered under subscription plans as detailed on our pricing page. All prices are quoted exclusive of VAT (ALV). Finnish VAT at the applicable rate will be added where required by law.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis.
• Payment is processed via our third-party payment provider. We do not store full card details.
• Invoices are issued electronically and constitute valid VAT invoices under Finnish law.

4.3 Failed Payments and Suspension

If a payment fails, we will notify you and allow a 7-day grace period to resolve the issue. Continued failure may result in service suspension. Data is retained for 30 days after suspension before deletion.

4.4 Refunds

As a B2B SaaS service, the Finnish Consumer Protection Act (kuluttajansuojalaki) right of withdrawal does not apply to business customers. For individual consumers, a 14-day right of withdrawal applies to initial purchases, provided the service has not been fully performed with your explicit consent.

5. Acceptable Use

You agree not to use the service to:

• Violate any applicable Finnish, EU, or international law
• Process unlawfully obtained personal data or data without a valid legal basis
• Send unsolicited commercial messages (spam) in violation of Finnish law (Sähköisen viestinnän palvelulaki)
• Reverse engineer, decompile, or attempt to extract the source code of Flowtusk
• Resell or sublicense access to the service without our written consent
• Introduce malware, viruses, or any disruptive code
• Attempt to gain unauthorised access to other customers’ data or systems

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

6. Intellectual Property

All intellectual property rights in the Flowtusk platform, including but not limited to software, design, trademarks, and content, are owned by or licensed to Makeshift Digital Oy. These Terms do not transfer any intellectual property rights to you.

You retain ownership of all data you provide or generate through the service (“Customer Data”). You grant us a limited, non-exclusive licence to process Customer Data solely to provide the service.

7. Data Protection

We process personal data in accordance with our Privacy Policy. Where we process personal data on your behalf as a data processor, the terms of our Data Processing Agreement apply and form part of these Terms.

8. Integrations with Third-Party Platforms

Flowtusk integrates with third-party platforms including Webflow, HubSpot, and Slack. Your use of these integrations is also subject to the respective platform’s own terms of service. We are not responsible for changes to third-party APIs or platforms that affect Flowtusk functionality.

9. Availability and Service Levels

We aim to provide a highly available service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance. We are not liable for outages caused by third-party services, force majeure events, or circumstances beyond our reasonable control.

10. Limitation of Liability

To the fullest extent permitted by Finnish law:

• Our total aggregate liability to you shall not exceed the fees paid by you in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or data.
• Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable Finnish or EU law.

11. Indemnification

You agree to indemnify and hold harmless Makeshift Digital Oy and its officers, employees, and contractors from any claims, damages, or costs arising from your violation of these Terms or misuse of the service.

12. Term and Termination

• These Terms remain in effect for the duration of your subscription.
• Either party may terminate the agreement with 30 days’ written notice.
• We may terminate immediately for material breach, non-payment, or violation of the Acceptable Use policy.
• Upon termination, your access to the service will cease. We will delete your data within 30 days unless legally required to retain it.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Finland. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the Helsinki District Court (Helsingin käräjäoikeus) as the court of first instance, unless mandatory consumer protection law requires otherwise.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Data Processing Agreement, constitute the entire agreement between you and Makeshift Digital Oy regarding the Flowtusk service.
